Both Heinz cases were written for both law and business school students. Case A focuses on the activist investor pressure H.J. Heinz company came under in 2007 and its acquisition by 3G Capital in 2013. Case B assesses the proposed leveraged recapitalization of publicly traded Kraft Foods Group, Inc. in connection with a merger of Heinz (then controlled by 3G and Berkshire Hathaway) with Kraft. These transactions, taken as a whole, constitute an unusual and arguably new model of the role of private equity capital in effecting operational transition and change in control of major public companies. These cases vet these issues from strategic, financial, transactional, and legal perspectives.
